1 Acceptance of Terms

By creating an account, booking a service, or otherwise using NoidNurse.com, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our HIPAA Notice of Privacy Practices.

If you do not agree to these Terms, you may not access or use our services. If you are accepting these Terms on behalf of an organization (such as a healthcare facility), you represent that you have the authority to bind that organization to these Terms.

2 Service Description

NoidNurse.com provides hybrid nursing services that combine human nurses and humanoid robot nurses, including:

• Home Care: In-home nursing services for seniors, post-surgical patients, and those with chronic conditions
• Clinic Care: Staffing support for medical clinics and outpatient facilities
• Hospital Care: Patient discharge support and care transition services
• Vital Monitoring: 24/7 health data tracking via humanoid nurses
• Care Coordination: Scheduling, communication, and care plan management through our platform
• Telehealth Integration: Remote consultation support and care monitoring services

3 Eligibility

To use our services, you must:

• Be at least 18 years of age (or have a parent/guardian manage the account on your behalf)
• Be located in a state where NoidNurse operates
• Provide accurate and complete information during registration
• Have legal authority to enter into a binding agreement

NoidNurse.com reserves the right to refuse service, terminate accounts, or cancel bookings at our discretion if eligibility requirements are not met.

4 User Accounts

When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality and security of your account credentials
• Promptly notify us of any unauthorized account access or security breaches
• Not share your account with others or create multiple accounts
• Provide accurate health information necessary for safe and effective care delivery
• Treat all NoidNurse staff (human and humanoid) with respect and provide a safe care environment
• Not misuse, tamper with, or damage humanoid nurse units
• Not attempt to reverse engineer our technology or systems

You are responsible for all activities that occur under your account. Violation of these obligations may result in suspension or termination of services.

5 Booking and Cancellation

Our cancellation policy applies to all booked services:

Refunds are processed within 5-10 business days to the original payment method.

6 Payment Terms

Payment terms for our services:

• Service rates are provided during the consultation and booking process and displayed transparently on your account
• Payment is due according to your selected payment plan (per-visit, monthly, or annual)
• We accept major credit cards, ACH transfers, HSA/FSA cards, and insurance (where applicable)
• Insurance claims are processed on your behalf; co-pays and deductibles remain your responsibility
• Late payments may incur a 1.5% monthly late fee and may result in service suspension
• All fees are in US dollars unless otherwise specified

Prices are subject to change with 30 days written notice. Changes will not affect existing service agreements until their renewal date.

7 Humanoid Nurse Services

Scope of Humanoid Services

Our humanoid nurse units are designed for specific tasks under clinical supervision, including vital signs monitoring, medication reminders, mobility assistance, and routine health observations. They operate under the oversight of licensed human nurses and healthcare professionals at all times.

Safety and Limitations

• Humanoid units are not a substitute for human clinical judgment, emergency response, or complex medical procedures
• All humanoid units undergo rigorous safety testing and carry comprehensive product liability insurance
• A licensed human nurse is always available (on-site or remotely) to supervise humanoid operations
• Humanoid units include emergency stop mechanisms that patients, caregivers, or staff can activate at any time
• Regular maintenance and safety inspections are performed on all deployed units

User Responsibilities

• Do not tamper with, modify, or attempt to disassemble humanoid nurse units
• Report any malfunction, unusual behavior, or safety concerns immediately to NoidNurse support
• Ensure the care environment is accessible and safe for humanoid unit operation (clear pathways, stable surfaces)
• Do not use humanoid units for purposes outside their designated care functions

Liability for Humanoid Services

NoidNurse.com carries comprehensive general and product liability insurance covering all humanoid nurse operations. In the event of a malfunction or incident, NoidNurse.com will investigate promptly and take corrective action. Claims related to humanoid unit operations are handled through our standard incident resolution process. Our liability for humanoid-related incidents is subject to the limitations set forth in Section 9 of these Terms.

8 Intellectual Property

All content, features, and functionality of NoidNurse.com, including but not limited to text, graphics, logos, software, humanoid nurse technology, AI algorithms, and sensor systems, are owned by NoidNurse.com and protected by United States and international intellectual property laws.

You may not:

• Copy, modify, distribute, or create derivative works from our content without written permission
• Use our trademarks, service marks, or logos without written authorization
• Reverse engineer, decompile, or disassemble our software, humanoid technology, or AI systems
• Remove or alter any copyright, trademark, or proprietary notices
• Use automated tools to scrape, crawl, or extract data from our platform

9 Limitation of Liability

To the maximum extent permitted by applicable law:

• NoidNurse.com shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability for all claims shall not exceed the total amount paid by you for services in the twelve (12) months preceding the claim
• We do not guarantee specific health outcomes or results from our services
• We are not responsible for the acts or omissions of third-party healthcare providers, insurance companies, or other external parties
• Service availability may be affected by circumstances beyond our reasonable control, including natural disasters, power outages, and equipment failures
• Humanoid nurse units are provided "as is" with respect to their technical capabilities; while we maintain high reliability standards, we cannot guarantee uninterrupted operation

10 Indemnification

You agree to indemnify, defend, and hold harmless NoidNurse.com, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or inability to use our services; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any content or information you provide through our platform; or (e) your intentional damage or misuse of humanoid nurse equipment.

11 Termination

Either party may terminate the service relationship:

• By you: 30 days written notice for ongoing care plans; individual appointments subject to the cancellation policy above
• By NoidNurse: Immediately for Terms violations, safety concerns, or abusive behavior; 30 days notice for other reasons

Upon termination, your right to use our services and platform ceases. We will provide care transition assistance to ensure continuity of care, including transferring medical records to your new care provider upon request. Provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

12 Governing Law

Any disputes arising from these Terms or our services will be resolved as follows:

• Informal Resolution: We encourage you to contact us first at legal@noidnurse.com to attempt to resolve the issue informally
• Mediation: If informal resolution fails within 30 days, disputes will be submitted to mediation
• Arbitration: Binding arbitration in San Francisco, California under AAA Commercial Arbitration Rules
• Class Action Waiver: Disputes must be resolved on an individual basis; class actions and collective arbitration are not permitted
• Governing Law: These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform at least 30 days before they take effect. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.
